Digital NDA

This Non-Disclosure Agreement ("Agreement") serves as a legally binding contract governing the protection of confidential materials hosted on BIZVESTRA.

1. Definition of Confidential Information

"Confidential Information" shall include all data, materials, financial projections, capitalization tables, intellectual property, and strategic plans disclosed by project founders through the BIZVESTRA platform.

2. Obligations of Receiving Party

The Receiving Party (Investor/Advisor) agrees to hold the Confidential Information in strict confidence and to take all reasonable precautions to protect such Confidential Information.

Information shall not be disclosed to any third party without prior written consent.
Information shall be used solely for the purpose of evaluating a potential transaction.
No copies of the Confidential Information shall be made or retained without authorization.

3. Term

The non-disclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement.
